Early Access & Free Preview (Plain-English Summary + Legal Terms)
Sandspit is currently offered as a free, early-access preview (the "Free Preview Period"). You're welcome to use it, explore it, and share feedback while we continue building and refining the product.
Because this is early access, a few important things to know:
- Some features may be incomplete, experimental, or change over time
- Features may occasionally break or behave unexpectedly
- Pricing, usage limits, or paid plans may be introduced in the future
- Availability, performance, and data synchronization are not guaranteed
- You are responsible for reviewing anything you submit or update through Procore
- Procore remains the system of record — Sandspit is a productivity layer on top
No fees are charged during the Free Preview Period.
Sandspit reserves the right to:
- Modify, limit, or discontinue features at any time
- Introduce paid plans, subscriptions, or usage limits in the future
- Restrict or revoke access to the Service at its discretion
Continued use of the Service after the introduction of paid plans or updated terms constitutes acceptance of those changes.
This section forms part of these Terms of Service and is legally binding, even though it is written in plain language.
1. Acceptance of Terms
By accessing or using Sandspit (the "Service"), you agree to these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
2. Description of the Service
Sandspit is a cloud-based software platform designed to help users view, organize, edit, and manage construction project data, including submittals, RFIs, and related records. The Service may synchronize data from third-party systems.
Sandspit is a workflow and productivity tool, not a system of record.
3. Accounts & User Responsibilities
- Users must provide accurate account information
- You are responsible for all activity under your account
- You are responsible for maintaining appropriate permissions and access controls
Sandspit may suspend or terminate accounts for misuse, security risks, or violations of these Terms.
4. Customer Data & Ownership
- You retain ownership of all data you input or synchronize into the Service ("Customer Data")
- You grant Sandspit a limited license to host, process, transmit, and display Customer Data solely to provide the Service
Sandspit does not claim ownership of your project data.
5. Procore & Third-Party Integrations
Sandspit integrates with third-party platforms, including Procore.
You acknowledge that:
- Third-party services are outside Sandspit's control
- Availability, accuracy, permissions, and rate limits are governed by the third party
- Sandspit is not affiliated with or endorsed by Procore
Sandspit is not responsible for third-party outages, API changes, data discrepancies, or permission changes.
6. Bulk Actions & Workflow Responsibility
The Service may allow bulk editing, bulk responses, or other batch actions.
You acknowledge that:
- Bulk actions can affect multiple records simultaneously
- You are solely responsible for reviewing and approving all actions before submission
- Sandspit does not validate the appropriateness of submissions, responses, or workflow decisions
Sandspit is not responsible for unintended changes resulting from user-initiated actions.
7. No Reliance During Free Preview
During the Free Preview Period, the Service is provided for evaluation purposes only and should not be relied upon as the sole system of record for project-critical decisions.
8. Acceptable Use
You may not:
- Reverse engineer, scrape, or interfere with the Service
- Bypass safeguards or rate limits
- Use the Service to violate laws or third-party terms
- Upload malicious code or harmful content
9. Confidentiality
Each party agrees to protect the other's confidential information and use it only as necessary to perform under these Terms.
10. Security
Sandspit implements reasonable administrative, technical, and physical safeguards to protect Customer Data. However, no system is completely secure, and Sandspit does not guarantee absolute security.
11. Service Availability & Changes
The Service is provided "as is" and "as available."
Sandspit may modify, suspend, or discontinue any part of the Service at any time, including during the Free Preview Period.
12. Fees & Future Pricing
During the Free Preview Period, no fees are charged.
Sandspit may introduce paid plans, subscriptions, or usage limits in the future. Any such changes will be communicated prior to enforcement.
13. Termination
Either party may terminate use of the Service at any time.
Upon termination:
- Access to the Service will end
- Sandspit may delete Customer Data after a reasonable retention period
14. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
15. Limitation of Liability
To the maximum extent permitted by law:
- Sandspit shall not be liable for indirect, incidental, or consequential damages
- Total liability shall not exceed the fees paid by Customer in the prior twelve (12) months (or zero during the Free Preview Period)
16. Indemnification
You agree to indemnify and hold harmless Sandspit from claims arising from:
- Your use of the Service
- Your data
- Your violation of laws or third-party terms
17. Feedback
Any feedback, suggestions, or ideas provided may be used by Sandspit without restriction or obligation.
18. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
19. Changes to Terms
Sandspit may update these Terms from time to time. Continued use of the Service constitutes acceptance of the updated Terms.
